Terms & Conditions

These terms are used throughout this document with the following meanings:

Term	Meaning
"Wexnex"	The Wexnex software platform operated by YAWA DIGITAL
"we", "us", "our"	YAWA DIGITAL, the operator of Wexnex. GSTIN: 23GKOPD3691A1ZC
"Service"	The Wexnex web platform, mobile interface, API integrations, and all related features
"User", "you", "your"	Any individual or business entity that registers for or uses Wexnex
"GBP" or "Google Business Profile"	A business listing on Google Search and Google Maps, formerly known as Google My Business (GMB)
"AI Content"	Posts, review replies, descriptions, and other text generated by Wexnex's artificial intelligence on your behalf
"Account"	Your registered Wexnex account, including your profile, connected GBP listings, and subscription
"Subscription"	A paid plan (Starter, Pro, or Agency) granting access to Wexnex features on a recurring monthly basis

To use Wexnex, you must meet all of the following requirements:

• Be at least 18 years of age
• Have the legal authority to enter into a binding contract under the laws of India or your applicable jurisdiction
• Be the verified owner or an explicitly authorized manager of any Google Business Profile you connect to Wexnex
• Provide accurate, complete, and current information during registration and throughout your use of the Service
• Not have had a Wexnex account previously terminated for violating these Terms

By registering, you represent and warrant that you meet all eligibility requirements above.

3.1 Account security

You are solely responsible for maintaining the confidentiality of your account credentials. Do not share your password with anyone. You must notify us immediately at support@wexnex.com if you suspect any unauthorized access to your account.

Wexnex will not be liable for any losses or damages resulting from unauthorized use of your account due to your failure to maintain security.

3.2 Account accuracy

You must keep your account information accurate and up to date. Providing false information, impersonating another person or business, or creating accounts under false pretences is grounds for immediate termination.

3.3 One account per business

Each business location connected to Wexnex must be connected through a single authorized account. You may not create multiple accounts to circumvent subscription limits or other restrictions.

The core function of Wexnex is to manage your Google Business Profile on your behalf. By connecting your GBP to Wexnex, you:

• Authorize Wexnex to access, read, and modify your GBP data using Google's official Business Profile API on your behalf
• Confirm ownership or authorization: You represent that you are the legitimate verified owner or authorized manager of the connected GBP and have the right to grant us this access
• Accept responsibility for published content: You remain fully responsible for all content published to your GBP through Wexnex, including all AI-generated posts and review replies
• Acknowledge Google's authority: Wexnex is a third-party tool and is not affiliated with or endorsed by Google. Google's own policies govern your GBP, and Google may take actions on your profile — including suspension — entirely at their discretion and outside Wexnex's control
• Right to revoke access: You may disconnect Wexnex from your Google Account at any time via myaccount.google.com/permissions, which immediately stops all automated actions on your GBP

4.1 Accuracy of profile information

By connecting your GBP, you confirm that all information on your Google Business Profile (business name, address, hours, category, etc.) is accurate and truthful. Wexnex may update your profile fields as part of the optimization service — you are responsible for reviewing any updates in your dashboard and correcting inaccuracies promptly.

Wexnex uses artificial intelligence to generate posts, review replies, and other content on your behalf. By using this feature, you acknowledge and agree to the following:

• AI is not perfect: AI-generated content may occasionally contain errors, factual inaccuracies, tone mismatches, or content that does not reflect your brand. You should review content in "approval mode" if accuracy is critical to your business
• You are responsible: Content published to your GBP through Wexnex — whether in auto-publish or approval mode — is your responsibility as the account holder and GBP owner. Wexnex is the tool; you are the publisher
• You own the content: AI-generated content created specifically for your business (posts, replies) belongs to you. Wexnex does not claim ownership over content generated for your account
• Right to edit or delete: You may edit any AI-generated content before it is published (in approval mode) or delete published content from your dashboard at any time. Wexnex will remove the content from Google on your behalf upon deletion request
• No defamatory or false content: You must not use Wexnex to publish false, misleading, defamatory, or deceptive content about any person, business, or product

6.1 Subscription plans

All prices are in Indian Rupees (₹) and are inclusive of applicable GST. We reserve the right to change pricing with 30 days' written notice to your registered email address.

6.2 Free trial

New accounts receive a 14-day free trial with full access to their chosen plan. No credit card is required to start a trial. After 14 days, the trial expires and you must enter payment information to continue using the Service. We will send a reminder email 3 days before trial expiry.

6.3 Billing cycle

Your subscription is billed monthly on the same date each month. The first charge occurs at the end of your 14-day trial. If your payment fails, we will retry the charge 3 times over 7 days. If payment remains unsuccessful after 7 days, your account will be paused until payment is received.

6.4 Refund policy

• 14-day trial: Free — no charges during trial
• 7-day money-back guarantee: If you are unsatisfied within 7 days of your first subscription payment, contact us at billing@wexnex.com for a full refund — no questions asked
• After 7 days: Subscription payments are non-refundable. Cancellation stops future charges but does not generate a refund for the current billing period
• Service outages: If Wexnex is unavailable for more than 24 consecutive hours due to our fault, we will credit your account with a prorated day credit for each day of downtime

6.5 Cancellation

You may cancel your subscription at any time from your account settings — no forms, no phone calls, no penalties. Your access continues until the end of your current billing period, after which no further charges are made.

6.6 GST and invoicing

A GST-compliant invoice is emailed after successful payment where billing is enabled. YAWA DIGITAL GSTIN: 23GKOPD3691A1ZC. If you need invoices issued to your company's GSTIN, add it in your billing settings.

You may use Wexnex only for lawful purposes and in ways that comply with these Terms, Google's policies, and applicable Indian law. The following are strictly prohibited:

8.1 Wexnex's intellectual property

The Wexnex platform — including its software code, design, interface, trademarks, logos, and underlying AI models and algorithms — is owned by YAWA DIGITAL and protected by Indian and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of Wexnex without our prior written consent.

8.2 Your content

AI-generated content created specifically for your business through Wexnex (posts, review replies, descriptions) belongs to you upon creation. We do not claim ownership over it.

By using Wexnex, you grant us a limited, non-exclusive, royalty-free licence to transmit, store, and process this content solely as necessary to provide the Service — for example, to publish a post to your GBP or to send you a report.

8.3 Feedback

If you submit suggestions, ideas, or feedback to Wexnex, you grant us a perpetual, royalty-free licence to use that feedback to improve our Service without any obligation to you.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees that the Service will be uninterrupted, error-free, or completely secure
• Guarantees regarding the accuracy or completeness of AI-generated content
• Guarantees that using Wexnex will not result in Google taking action on your GBP

No affiliation with Google: Wexnex is an independent third-party service and is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Google LLC. Google Business Profile and Google Maps are trademarks of Google LLC.

To the maximum extent permitted by applicable Indian law, Wexnex and its directors, employees, and agents shall not be liable for:

• Any loss of revenue, profit, customers, business, or opportunity resulting from changes in your Google search ranking
• Google suspending, removing, or taking any other action on your Business Profile for any reason
• Errors, inaccuracies, or inappropriate content in AI-generated posts or review replies published through your account
• Service interruptions, scheduled maintenance downtime, or data loss due to technical failures
• Any indirect, incidental, special, consequential, or punitive damages, regardless of the cause
• Third-party actions, including actions by Google, Razorpay, or any other service provider

Liability cap: Our total aggregate liability to you for any claim arising out of or relating to Wexnex shall not exceed the total amount you paid to Wexnex in the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Wexnex, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms
• Content published to your GBP through Wexnex (including AI-generated content you approved or that was published in auto mode)
• Your violation of any third-party rights, including Google's Terms of Service or Business Profile policies
• Your breach of any applicable law or regulation
• Any false or misleading information you provided during registration or onboarding

12.1 Termination by you

You may terminate your Wexnex account at any time by cancelling your subscription in your account settings and then deleting your account. Your access continues until the end of the current billing period.

12.2 Termination by Wexnex

We may suspend or permanently terminate your account, with or without notice, if:

• You violate these Terms, including the Acceptable Use Policy
• You fail to pay subscription fees after the grace period
• We receive credible evidence that you are using Wexnex for fraudulent or illegal activity
• We are required to do so by law or a regulatory authority
• We cease to operate the Wexnex Service (with at least 30 days' notice)

12.3 Effect of termination

Upon termination: (a) your access to Wexnex ceases immediately; (b) all automated actions on your GBP stop; (c) your Google OAuth tokens are deleted immediately; (d) your account data is retained for 90 days and then permanently deleted, except billing records which are retained for 7 years as required by law.

Termination of your Wexnex account does not affect your Google Business Profile itself — all previously published content remains on Google's servers under your control.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.1 Informal resolution first

Before filing any formal dispute, you agree to contact us at legal@wexnex.com and give us 30 days to try to resolve the issue informally. Most issues can be resolved quickly through direct communication.

13.2 Jurisdiction

If informal resolution is unsuccessful, any dispute arising from these Terms or your use of Wexnex shall be subject to the exclusive jurisdiction of the courts located in India. You consent to personal jurisdiction in these courts.

13.3 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wexnex regarding the Service and supersede all prior agreements or understandings, oral or written.

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:

• Send you a notification email at least 14 days before the changes take effect
• Display a notice on your dashboard when you next log in
• Update the "Last updated" date at the top of this page
• For major changes, we may ask you to actively confirm your acceptance before continuing to use the Service

Your continued use of Wexnex after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
